Who can invest in Climate Angels?

Alternative Investment Fund (AIF) are open for investment to anyone globally. You can invest as a body corporate, fund or individual.
However, we encourage that only those entities or individuals that have a valid Indian PAN (Permanent Account Number) invest via Climate Angels

How do one qualify as an eligible Angel Investor to invest via Climate Angels?

As an individual angel investor, you need to have net tangible assets of at least INR 2 crore excluding the value of your principal residence, and you need to meet at least one of the following criteria

· have early-stage investment experience, or
· have experience as a serial entrepreneur, or
· are a senior management professional with at least 10 years of experience.

A corporate entity can qualify as an angel investor, provided its net worth exceeds INR 10 crore. This is applicable for corporates based anywhere in the world; providing the Memorandum / Articles or Incorporation documents mention “investing” as an objective of the corporate entity.
Other AIF (Alternative Investment Fund) registered under SEBI AIF Regulations, 2012 or a Venture Capital Fund (VCF) registered under the SEBI (Venture Capital Funds) Regulations, 1996 are also eligible to invest via Climate Angels.

What are the tax implications of investing through Climate Angels regulated "Angel Fund"?

At the time of making an investment, there are no tax implications of investing through Climate Angels.

At the time of exit of an investment, here is a 10% withholding tax at the time of making payments to investors; provided the investors have a valid Indian PAN (whether based in India or anywhere in the world).

The investors can claim this withholding tax as a tax credit while filing their income tax returns in India. However, non-resident investors need to ensure that double tax avoidance treaties are in place between India & their resident countries to claim this tax credit.

What are the Indian tax implications for non-Indian investors?

Non-Indian investors will be investing in a US-based special-purpose vehicle. At the time of exit, the purchaser may withhold taxes on the number of gains and the SPV will file taxes on its returns of income in India. Climate Angels is not qualified to provide tax advice and the above should not be read as tax advice. There are many important exceptions to the generalization stated above, so please be sure to consult your tax advisor and relevant international tax treaties before making an investment.

As a company, is there any restriction to raising from an Climate Angels syndicate?

Climate Angels syndicates can only invest in companies which: have been incorporated during the preceding 7 years. have a turnover of less than INR 25 crores is not promoted by an industrial group whose turnover exceeds INR 300 crores does not have connections / related party association with the Lead Investor of the syndicate

How are Syndicates different to investing directly into the company?

Syndicates are led by lead investors who are actively scouting for good quality deals from the climate tech startup ecosystem. Investors get an opportunity to participate in these syndicates and get benefits from the lead’s experience in choosing & managing startups to invest.
Leads will lead all discussions & documentation with the startup and the investor will share a carry with the lead.

What are the limits to keep in mind while investing through Climate Angels?

All investors, including leads, are required to meet the minimum threshold of investing INR 25 Lakhs over a period of 5 years from the time of making their first investment with Climate Angels. This can be in a single investment or over multiple investments.

Can I invest in Indian companies if I am not an Indian resident?

Yes, but we recommend that the off-shore investing entity or individual have an Indian PAN.

How often can investors expect an update on investments?

Climate Angels will provide all investors quarterly updates to all unit holders & investors.

How private are the deals on Climate Angels?

Climate Angels has a multi-tiered privacy structure by design. First only approved & verified investors get access to deals after completion of their KYC. Secondly, each investor applies to a syndicate & is approved by the Lead to view their deals. Hence both Climate Angels & Leads ensure that only validated & approved investors get access to deals.

What is the maximum number of investors that can invest in a company?

A single investment in a startup will have a maximum of 199 investors.

What are the Angel tax implications on startups raising funds from Climate Angels?

Climate Angels, is a SEBI Cat-1 angel AIF and all its investments are exempt from Angel Tax. There could be cases where “Angel Tax” could apply if the Angel Investor had invested directly into the startup.
